AloOui Reseller Terms and Conditions

These Reseller Program Terms & Conditions (“Terms”) govern participation in the AloOui Reseller Program operated by Unitrade LLC (“AloOui”, “we”, “our”, or “us”).

By applying for, activating, accessing, or using a reseller account, reseller pricing, reseller balance, or any related AloOui reseller services, you (“Reseller”, “you”, or “your”) agree to comply with and be legally bound by these Terms.

Important:
Participation in the reseller program is subject to approval by AloOui. AloOui reserves the right to approve, reject, suspend, restrict, or terminate reseller accounts at its sole discretion.

1. Reseller Program Overview

The AloOui Reseller Program allows approved businesses, agencies, online sellers, affiliates, travel companies, retailers, and independent resellers to purchase and resell AloOui products and services.

2. Eligibility

  • Be at least 18 years old
  • Operate lawful business or resale activities
  • Provide accurate and updated information
  • Comply with all applicable laws and regulations
  • Use AloOui services only for authorized resale purposes

3. Application & Account Activation

To activate a reseller account:

  • Complete the reseller application process
  • Submit verification information if requested
  • Minimum reseller balance top-up of USD $100 may apply

AloOui reserves the right to request additional verification documents at any time.

4. Reseller Account Responsibilities

  • Maintain account confidentiality
  • Secure account credentials and payment methods
  • Keep account information accurate and updated
  • Remain responsible for all account activity

5. Reseller Pricing & Access

Approved resellers may receive access to:

  • Wholesale pricing
  • Promotional materials
  • Reseller tools and dashboards
  • Special reseller discounts

Pricing and benefits may change at any time without prior notice.

6. Reseller Balance (Store Credit)

Important Balance Policy
  • All reseller balance top-ups are final and non-refundable unless required by law
  • Balance may only be used within the approved reseller account
  • Using different accounts or emails may result in suspension

7. Orders & Payments

All reseller purchases are prepaid using available reseller balance or approved payment methods.

AloOui reserves the right to refuse, delay, review, or cancel transactions involving suspected fraud, abuse, compliance concerns, or technical issues.

8. Chargebacks & Payment Disputes

Fraudulent or abusive chargebacks may result in:

  • Immediate account suspension
  • Permanent termination
  • Balance forfeiture
  • Recovery of associated damages and fees

9. Marketing & Branding

Resellers may use approved AloOui branding materials and promotional assets.

Resellers may not:

  • Make misleading claims
  • Guarantee uninterrupted service
  • Impersonate AloOui
  • Use deceptive marketing practices
  • Create confusingly similar branding or domains

10. Independent Relationship

Nothing in these Terms creates any partnership, employment, agency, franchise, or joint venture relationship between AloOui and the Reseller.

11. Customer Support Responsibilities

Resellers are encouraged to provide first-level support to their own customers.

AloOui may assist with technical issues, activation problems, and service inquiries where applicable.

12. Device Compatibility

  • Devices must be carrier unlocked
  • Devices must support eSIM technology
  • Devices must be compatible with destination networks

13. Service Availability Disclaimer

AloOui services are provided on an “as available” and “as is” basis.

Network quality, speed, and coverage may vary depending on carrier, country, infrastructure, device compatibility, and technical limitations.

14. Fair Usage Policy

Unlimited or promotional plans may be subject to fair usage limitations imposed by partner carriers or network providers.

Excessive or abusive usage may result in:

  • Speed reduction
  • Temporary suspension
  • Permanent termination

15. Compliance & Prohibited Activities

  • Fraud
  • Spam or unsolicited marketing
  • SIM abuse
  • Artificial traffic generation
  • Unauthorized redistribution
  • Illegal resale activities

16. Taxes

Resellers are solely responsible for determining, collecting, reporting, and remitting applicable taxes, VAT, duties, or governmental fees related to their business activities.

17. No Earnings Guarantee

AloOui does not guarantee sales, profits, commissions, customers, or business success through participation in the reseller program.

18. Third Party Services

Certain services may involve third-party telecom providers, payment processors, or software platforms.

AloOui is not responsible for third-party outages, interruptions, policy changes, or processing delays.

19. Limitation of Liability

To the maximum extent permitted by law, AloOui and Unitrade LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from reseller participation or use of AloOui services.

20. Indemnification

Resellers agree to indemnify and hold harmless AloOui, Unitrade LLC, affiliates, employees, licensors, and service providers from claims, liabilities, damages, or expenses arising from reseller activities or violations of these Terms.

21. Account Suspension & Termination

AloOui reserves the right to suspend, freeze, restrict, or terminate reseller accounts at any time for fraud, abuse, compliance concerns, payment disputes, reputational risks, or policy violations.

22. Modifications

AloOui may modify or discontinue the reseller program or these Terms at any time without prior notice.

23. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States.

24. Dispute Resolution

Parties agree to first attempt good-faith negotiations before pursuing arbitration or legal proceedings.

25. Acceptance of Terms

By applying for, funding, activating, or using a reseller account, you confirm that you have read, understood, and agreed to these Terms & Conditions.
